Strategy Activates $64B Funding Engine to Accelerate Bitcoin Treasury

Strategy (formerly MicroStrategy) has reconfigured its financial infrastructure, filing new at-the-market programs that expand active issuance capacity to roughly $64 billion. The March 23 filing outlines a shifted capital stack designed to sustain its Bitcoin treasury strategy through 2026.

The company can now sell up to $21 billion in common stock and another $21 billion in STRC preferred securities. Meanwhile, the older STRK convertible line saw its authorized shares slashed from 269 million to roughly 40 million. This pivot highlights STRC's dominance; the variable-rate preferred stock now trades with more daily volume than seven competing preferred issues combined, including Boeing and KKR. Data from STRC.live indicates the program has already financed over 50,000 BTC since inception.

This liquidity fuels aggressive acquisition metrics. Analyst Adam Livingston notes that maintaining the company's amplification ratio requires nearly $2 of common stock for every $1 of STRC issued. If executed at recent pace, this structure could finance 450,000 additional BTC within seven months. Strategy currently holds 762,099 BTC with an average cost basis near $75,700, sitting on an unrealized loss exceeding $3 billion.

However, the architecture carries heavy overhead. Full deployment of the STRC program adds approximately $2.4 billion in annual dividend obligations. While the firm holds $2.25 billion in USD reserves, critics like Arca's Jeff Dorman point out the lack of operating cash flow. Without selling assets or issuing more equity, the model faces a liquidity mismatch. For engineers watching the system's stability, the question remains whether the capital inflow can outpace the dividend burden long-term. The balance sheet looks safe on assets versus liabilities, but fails interest coverage metrics. You can't pay bills without cash flow, and that cash flow has to come from somewhere.
